| Abstract: | Diplomová práce se zabývá povinností péče řádného hospodáře ve vztahu k členům statutárních orgánů obchodních korporací, a to v teoretických i praktických souvislostech. S ohledem na to si diplomová práce klade dva dílčí cíle. Prvním dílčím cílem je posouzení teoretických základů a vybraných specifik péče řádného hospodáře, včetně jejich doplnění o praktické poznatky a doporučení na základě odborné literatury i vlastních zkušeností autorky z její advokátní praxe tam, kde je to vhodné. Druhým dílčím cílem je propojení teoretických poznatků z první části s praktickou druhou částí, a tedy posouzení, jak se tyto teoretické základy promítají do vybraných souvislostí v praxi. Pro tyto praktické souvislosti byly zvoleny tři oblasti - programy compliance, řízení investic v podobě M&A transakcí a oblast ESG. Práce dospívá k závěru, že zdroje propojující teorii péče řádného hospodáře s její praxí jsou dosud nedostatečné, přičemž diplomová práce dle autorčina názoru tento nedostatek napravuje. Práce je zpracována k právnímu stavu ke dni 7. června 2026. |

| Abstract: | This thesis examines the fiduciary duties of members of statutory bodies of business corporations, both in theoretical and practical contexts. In this respect, the thesis sets two specific objectives. The first specific objective is to assess the theoretical foundations and selected aspects of the fiduciary duties, including supplementing them with practical insights and recommendations based on professional literature and the author’s own experience from her legal practice, where appropriate. The second specific objective is to link the theoretical knowledge from the first part with the practical second part, and thus to assess how these theoretical foundations are reflected in selected practical contexts. The following areas were selected for these practical contexts: compliance programs, investment management in the form of M&A transactions, and ESG. The thesis concludes that the sources linking the theory of the fiduciary duties to its practical application are still insufficient, and that this thesis aimed to close this gap.
