| Abstract: | Tato diplomová práce je zaměřena na problematiku fúzí. Obsahuje odlišení pojmů fúze, akvizice a podnikové kombinace, možné členění fúzí a motivy pro uskutečnění fúze. Dále se zabývá obchodněprávní úpravou, která je obsažena v zákoně o přeměnách obchodních společností a družstev. Nezanedbatelnou část tvoří i účetní a daňová problematika v souvislosti s fúzemi. Jádrem celé práce je provedená analýza uskutečněných fúzí v roce 2010. |

| Abstract: | This thesis is focused on mergers. Includes modulation concepts mergers, acquisitions and business combinations, breakdown of the mergers and possible motives for the merger. It also deals with legislation which are enshrined in the law on transformation of companies and cooperatives. A significant part is given the accounting and tax issues in connection with the merger. The crux of the work is carried out analysis of the merger in 2010. |
