| Abstract: | Tato práce má za cíl zmapování problematiky vývoje evropského obchodního práva s ohledem na prolínání dvou odlišných právních řádů v rámci integrace Evropské unie a jisté skromné posouzení výsledků. Zároveň přináší aktuální věcný popis dvou zahraničních forem společností s ručením omezeným, private company limited by shares a Gesellschaft mit beschränkter Haftung, porovnání a zhodnocení těchto forem při podnikání na německém trhu a následné nastínění vhodného uplatnění a využití private company limited by shares, které lze uplatnit nejen v Německu, ale i v ostatních členských státech včetně ČR. |

| Abstract: | This thesis is aimed at the description of the development of the European business law, with regard to the blending of two different legal systems under the European integration, and certain modest assessment of the results. It brings at the same time description of two foreign forms of companies with limited liability, private company limited by shares and Gesellschaft mit beschränkter Haftung, comparison and evaluation of these forms for conducting business in German market and subsequent outline of suitable application and use of private company limited by shares, that can be applied not just in Germany, but in the other member states including Czech republic as well. |
