| Abstract: | V teoretické části se práce bude zabývat některými právními a ekonomickými aspekty řízení dvou vybraných kapitálových společností: společnosti s ručením omezeným a akciové společnosti. Zmapuje základní pojmy týkající se správy těchto společností, problematiku vlastnických vztahů, systémů řízení, strukturu kompetencí orgánů společností a vztahy mezi zainteresovanými stranami. Nahlédne do odchylek a shodných rysů mezi modely corporate governance v České republice a ve světě. V praktické části se zaměřím na konkrétní případ -- podnik Saint-Gobain Isover CZ s.r.o., který prošel v roce 2011 sloučením s oborově příbuznými podniky a zároveň změnou právní formy z s.r.o. na a.s. (Saint-Gobain Construction Products CZ, a.s.). Vnitropodnikový pohled na rozdíly mezi těmito dvěma typy společnosti budu konzultovat s CFO podniku, který sloučení a přechod řídil. |

| Abstract: | Theoretical part of the thesis looks into some legal and economic aspects of corporate governance, management of limited company (společnost s ručením omezeným) and joint-stock company (akciová společnost) in czech legal system. It will compare the differences and similarities between frameworks of corporate governance in Czech republic and other countries. The thesis' objective is to chart the structure and the relations among the authorities within the company, ownership relations and stockholder issues. The practical part focuses on the differences in governing a company before and after merger (limited company -> joint-stock). The source material is an interview with the CEO and CFO of the company. |
