| Abstract: | abstract Aim of this Master's Thesis is to describe the process of liquidation to the reader step by step from winding-up of the company to its dissolution and focus on prospective problems that might arise in connection therewith. Based on the valid legislation the theoretical part deals with basic terms and explanation thereof with regards to anticipated effectiveness of the New Civil Code and Act on Business Corporation in January 2014 and changes related thereto. | Abstract: | Abstrakt Práce si klade za cíl přiblížit čtenáři proces likvidace krok za krokem od zrušení společnosti až po její zánik a upozornit na případné problémy, které mohou v průběhu tohoto procesu nastat. Teoretická část je věnovaná základním pojmům a jejich výkladu na základě platné právní úpravy, přičemž srovnává stávající stav se stavem očekávaným od ledna 2014 po nabytí účinnosti nového občanského zákoníku a zákona o obchodních korporacích. Praktická část obsahuje popis procesu likvidace smyšlené společnosti s ručením omezeným. Klíčová slova: likvidace, likvidátor, zrušení a zánik obchodní společnosti |
