| Abstract: | Hlavním cílem této práce je zpracování analýzy přeshraničních fúzí. Práce je rozdělena do třech tematických částí. První část je věnována obecné právní, účetní a daňové úpravě, druhá část znázorňuje vývoj v předchozích letech a mimo jiné jsou zde zachyceny jak motivy přeshraničních fúzí, které podněcují jejich využití, tak i možné překážky, které mohou naopak od jejich realizace odrazovat. Nechybí ani konkrétní ukázky účetních a daňových komplikací. Třetí část je analytická a je zároveň nosnou částí celé práce, obsahuje analýzu přeshraničních fúzí, která byla provedena ve třech rovinách. Nejdříve byla provedena podrobná analýza přeshraničních fúzí zveřejněných v obchodním věstníku v letech 2012 a 2013. Poté bylo navázáno na předchozí výzkumy a byla provedena stručná analýza přeshraničních fúzí realizovaných v České republice od roku 2008 do roku 2013. Na závěr bylo rozebráno několik vybraných zajímavých projektů přeshraniční fúze. |

| Abstract: | The main objective of this thesis is the analysis of cross-border mergers. The thesis is divided into three thematic sections. The first part is focused on general legal, accounting and tax regulation, the second part illustrates the development in recent years and among other things are recognized motives for cross-border mergers which encourage their use as well as possible obstacles which can in turn discourage from their implementation. There are also specific examples of accounting and tax complications. The third analytical part is the main part of the thesis contains an analysis of cross-border mergers, which was made in three levels. At the first level was made detailed analysis of cross-border mergers published in the Business Journal in 2012 and 2013. Then the analysis was followed up on previous research, and transformed into a short analysis of cross-border mergers implemented in the Czech Republic from 2008 to 2013. In conclusion there is analyzed several interesting merger plans. |
