| Abstract: |
Bakalářská práce si klade za cíl přinést stručný přehled tématu fúzí, tedy spojování dvou či více společností, z pohledu ochrany hospodářské soutěže. Nejprve je charakterizován pojem fúze a jsou přestaveny její základní typy, následně pak je uvedena legislativa fúzemi se zabývající, a to jak na úrovni národní, tedy normy s působností v České republice, tak na úrovni mezinárodní, tedy právo Evropské unie. Ve druhé kapitole se tato práce následně zabývá druhým z pojmů, tedy pojmem hospodářská soutěž. Po charakteristice nejdůležitějších orgánů působících v oblasti její ochrany je představena jedna z možných typologií jejího narušení. Praktickou část práce pak tvoří případová studie spojení firmy ZEDNÍČEK, a. s. a AGROFERT HOLDING a. s., respektive převzetí kontroly nad prvním jmenovaným druhou z uvedených společností, aniž by došlo k jejich sloučení. Po představení jednotlivých částí rozhodnutí je uvedeno, že ÚOHS po zvážení relevantních okolností (tzn. definice relevantního trhu a rozsah nárůstu tržního podílu společnosti AGROFERT) fúzi schválil. |

| Abstract: |
The goal of this bachelor thesis is to give a brief overview of the topic of mergers from the point of view of the protection of competition. First, the term merger is defined and its main types are presented. Then, legislation concerning mergers is listed -- on the national level, i.e. the legislation of the Czech Republic, as well as on the international level, i.e. law of the European Union. In the second chapter, this thesis treats the second term, the term competition. After a characteristic of the most important agents operating in the field of its protection, a typology of its disruption is presented. The practical part is composed of a case study of a merger of the firm ZEDNÍČEK and AGROFERT HOLDING, or rather an acquisition of the former by the latter without a merger in its proper sense actually taking place. After a presentation of different parts of the judgement, we conclude by saying that the Office for the Protection of Competition (Úřad pro ochranu hospodářské soutěže), after considering all relevant circumstances (i.e. the definition of the relevant market and the scope of increase of the AGROFERT's market share) has authorised the merger. |
