| Abstract: | Diplomová práce se zaměřuje na zrušení obchodních korporací bez právního nástupce a na proces likvidace v České republice. V teoretické části jsou stanovena práva a povinnosti obchodních korporací z právního, účetního a daňového pohledu. Praktická část diplomové práce obsahuje průzkum zaniklých obchodních korporací, které prošly procesem likvidace. Průzkum se zabývá identifikací subjektů a vymezením jejich procesu likvidace. Hlavním cílem průzkumu je ověřit platnost testované hypotézy, zda „obchodní korporace jsou zrušeny bez právního nástupce ve více než 50 % případů na základě rozhodnutí nejvyššího orgánu a jejich likvidační zůstatek dosahuje kladných hodnot“. |

| Abstract: | This diploma thesis focuses on the dissolution of a business corporation without a legal successor and the liquidation process in the Czech Republic. Legal, accounting and tax rights and obligations of corporation are evaluated in the theoretical part of the thesis. The practical part of the thesis includes research of liquidated corporations. The research concentrates on the description of entities and liquidation processes. The main objective of the research is to verify the validity of the assumed hypothesis that “in more than 50 percent of cases the corporations are dissolved without a legal successor by decision of the general meeting of the company and their liquidation balance is positive”. |
