| Abstract: | Tato diplomová práce se zabývá přeměnami obchodních korporací, zakotvených v zákoně č. 125/2008 Sb., o přeměnách obchodních společností a družstev. V teoretické části jsou popsány všechny přeměny obchodních korporací předvídané českou legislativou. Dále se práce zaměřuje na dvě přeměny obchodních korporací – fúze, konkrétně fúzi mateřské akciové společnosti s dceřinou společností s ručením omezeným a rozdělení, konkrétně rozdělení odštěpením se vznikem nových společností z hlediska daňových a právních aspektů. V rámci praktické části je řešen komplexní příklad fúze mateřské společnosti s dceřinou společností a rozdělení odštěpením se vznikem nových společností. |

| Abstract: | This diploma thesis deals with the transformation of business corporations, enshrined in Act No. 125/2008 Coll., on Transformations of Commercial Companies and Cooperatives. In the theoretical part are described all the transformations of business corporations anticipated by the Czech legislation. In addition, the thesis focuses on two transformations of business corporations - mergers, namely the merger of the parent joint-stock company with a limited liability subsidiary and division, namely the division by the spin-off with the emergence of new companies in terms of tax and legal aspects. The practical part deals with a complex example of a merger of the parent company with a subsidiary and a division by the spin-off with the emergence of new companies. |
