| Abstract: | Předmětem diplomové práce je finanční due diligence v rámci M&A transakcí. Cílem práce je blíže přiblížit tuto disciplínu a to pomocí teoretické a praktické části práce. Teoretická část zahrnuje nejdříve důvody, trendy a faktory ovlivňující M&A transakce. Následuje popis due diligence a jeho zasazení do procesu M&A, jeho účastníci, proces a druhy. Poslední kapitola teoretické části se přímo zaměřuje na finanční due diligence. Součástí praktické části práce je samotný projekt finančního due diligence provedeného v rámci České republiky.Závěr práce je věnován shrnutí poznatků. |

| Abstract: | The aim of diploma thesis is to introduce reader to practice of financial due diligence within the scope of M&A transactions. Thesis is divided into two main parts – theoretical and practical. Theoretical part consists of reasons, trends and factors affecting mergers and acquisitions and further describes due diligence, its participants, process, types and overall role in M&A with accent to financial due diligence. Practical part is comprised of financial due diligence project realized by advisory firm in Czech Republic.Findings of the thesis are summarized in the final conclusion. |
