| Abstract: | V současném globálním světě jsou převodní ceny mezi spojenými osobami velkým tématem, jelikož mohou ovlivňovat poměrně zásadně základy daně Skupiny v jednotlivých jurisdikcích, kde tato Skupina operuje. Tato diplomová práce se soustředí na to, jak lze nastavit a obhájit nastavení převodních cen z pohledu OECD v komplexních transakcích ve finančním sektoru, konkrétně v investičním bankovnictví, které mají globální charakter. Transakce investičního bankovnictví jsou zanalyzovány ve třech základních skupinách: (1) Fúze a akvizice; (2) Kapitálové akciové trhy; (3) Kapitálové trhy s dluhovými nástroji. V první části je představena problematika převodních cen z pohledu OECD včetně databází, které lze použít na nalezení srovnatelných transakcí. V druhé kapitole je představen sektor investičního bankovnictví, který zahrnuje přestavení produktů, největších investičních bank a základních statistických údajů o sektoru. Ve třetí části je v detailu přestaven a vysvětlen hodnotový řetězec jednotlivých transakcí a v poslední části jsou představeny možnosti, jak benchmarkovat jednotlivé funkce včetně obhájení srovnatelnosti vybraných transakcí k porovnání. |

| Abstract: | In the current global world, the transfer pricing is being discussed on daily basis since it quite affects the tax base of the Group in each jurisdiction in which the Group operates. The purpose of this thesis is to define how to set and how to defend the transfer prices from the perspective of the OECD in complex and global transactions within financial sector, specifically within investment banking. The investment banking transactions are analyzed in three main areas: (1) Mergers and acquisitions; (2) Equity capital markets; and (3) Debt capital markets. In the first chapter, the area of transfer pricing is being introduced and explained in detail, including the introduction of the databases which are being used to find comparable transactions. In the second chapter, the investment banking industry is being described, including basic products, the biggest investment banks and statistical figures. In the following chapter, the functions within the value chain of the investment banking transaction are being explained. Furthermore, the last chapter deals with the ways how to benchmark the functions including the reasoning of comparability for the chosen comparable transactions. |
