| Abstract: | Cílem této práce je vysvětlit a porovnat podíl na likvidačním zůstatku a vypořádací podíl, a to pouze v kapitálových obchodních společnostech, tedy ve společnosti s ručením omezeným a akciové společnosti. Teoretická část se zabývá především obecnými informacemi o právnických osobách, oceňování, likvidaci, podílu na likvidačním zůstatku a vypořádacím podílu. Pro lepší pochopení a přehlednost je teoretická část doplněna o názorné příklady. V praktické části jsou zjištěné informace zkoumány při porovnání společenských smluv 19 vybraných společností s ručením omezeným a při rozboru dvou judikátů Nejvyššího soudu České republiky. |

| Abstract: | The aim of this thesis is to clarify and compare share on the liquidation balance (liquidation balance is any surplus funds after the company’s liquidation process) and share settlement in the limited liability company and joint-stock company. The theoretical part deals with general information about legal entities, appraisal, share on the liquidation balance and share settlement. This part is supplemented with illustrative examples for a better clarity and understanding. The practical part applies knowledge in the analysis of deed of incorporation of 19 selected limited liability companies and two law cases of Supreme Court of the Czech Republic. |
