| Abstract: | Diplomová práce na téma „Komparativní analýza fúzí realizovaných v roce 2016“ je zaměřena na fúze a jejich účetní a právní souvislosti. Práce nejprve vymezuje fúze obecně, kdy zachycuje jejich členění, motivy a přípravnou fázi. Dále se zabývá náležitostmi projektu fúze, účetními souvislostmi rozhodného dne a auditem účetních výkazů vznikajících v souvislosti s fúzí. Další oblastí práce je ocenění jmění zanikajících společností znalcem a jeho promítnutí do účetnictví nástupnické společnosti. Rozsáhlá část je věnována také goodwillu, jeho druhům a způsobům vykazování. Hlavním výstupem této práce je analýza fúzí zapsaných do obchodního rejstříku v roce 2016. Kromě samotného roku 2016 práce krátce analyzuje i vývoj fúzí od roku 2010 do roku 2016. Výsledky analýzy vycházejí z tabulky v Příloze č.1 a jsou interpretovány pomocí grafů nebo tabulek se slovním komentářem. |

| Abstract: | The diploma thesis on „Comparative Analysis of Mergers Realised in 2016“ is focused on mergers and its accounting and legal connections. The thesis first defines mergers in general, capturing their breakdowns, motives and the preparatory phase. It also deals with the details of the draft terms of merger, the accounting context of the decisive date and the audit of the financial statements arising from the merger. Another part of the thesis is about the valuation of the assets of the dissolving companies by the expert and its projection into the accounting of the successor company. Extensive part is also devoted to goodwill, its types and reporting methods. The main performance of this thesis is the analysis of mergers registered in the Commercial Register in 2016. In addition to 2016, the thesis also briefly analyzes the development of mergers from 2010 to 2016. The results of the analysis are based on the table in Appendix No. 1 and are interpreted using graphs or tables with word comment. |
