| Abstract: | Práce pojednává o realizaci fúzí v rámci národní legislativy, přičemž se blíže zaobírá dvěma základními oblastmi fúzí – oceňováním a daňovou problematikou. Práce se dělí na tři ucelené části. První teoretická část pojednává o motivech a důvodech pro realizaci fúzí a o fúzích v kontextu s národní legislativou. Druhá teoretická část se věnuje fúzím jakožto prostředku pro přecenění jmění společností. Ve třetí, praktické části práce, je problematika daní a oceňování rozebírána na příkladech z praxe. |

| Abstract: | The thesis describes the implementation of mergers in the framework of national legislation and it deals with two basic areas of mergers - valuation and tax issues. The work is divided into three parts. The first theoretical part is dedicated to motives and reasons for the implementation of mergers, and mergers in the context of national legislation. The second theoretical part deals with mergers as a means of revaluing the assets of companies. In the third, practical part of the thesis, tax and valuation issues are analyzed in practical examples. |
