| Abstract: | Diplomová práce je zaměřena na znázornění jednoho z možných postupů provádění finančního due diligence. V práci jde především o upozornění na základní techniky používané v rámci poskytování služeb finančního due diligence a jejich praktické ukázce na konkrétní, anonymizované, společnosti. Autor kombinuje přístupy získané z dostupné literatury s praktickými zkušenostmi z provádění finančního due diligence. Výsledkem je pak souhrn zjištěných rizik a významných skutečností, které by pro potenciálního investora byly klíčové při rozhodování o akvizici zkoumané společnosti. V teoretické části jsou popsány především různé přístupy k provádění finančního due diligence. V praktické části jsou poznatky z teoretické části a další techniky aplikovány v praxi na datech reálné společnosti. Doplňkovým výstupem je kvantifikace rozdílu mezi cenou podniku při využití finančního due diligence a bez jeho využití, pokud by se vycházelo jen z veřejně dostupných a neupravených údajů. Výsledný rozdíl pak ilustruje, jaký vliv může mít finanční due diligence na ocenění podniku. |

| Abstract: | The thesis is focused on illustrating one of the possible methods of financial due diligence. It is focused on applying basic techniques to real but anonymized company. The author combines policy obtained from accessible literature and personal experience. The result is an overview of indentified risks and important facts, crucial for potential investor in his decision to acquisition the verified company. There are described different methods to provide the financial due diligence in the theoretical part as well. In the practical one there is information from theoretical part and other methods applied to existing company. A supplementary output of the whole thesis is quantification of the contrast between the value of the company with using financial due diligence and without. The final contrast shows the possible effect financial due diligence could have on the company value. |
