| Abstract: | Tato práce se zabývá srovnáním americké a české úpravy závazkového práva s důrazem na kupní smlouvu, jakožto jeden z nejvyužívanějších institutů smluvního práva. Práce se nejprve zaobírá zvláštnostmi amerického práva, zejména tedy vztahem mezi federálníhm a státním právem, prameny a základními zásady amerického smluvního práva. Hlavní část této práce se pak následně soustředí na vybrané otázky kupního práva, počínaje jejím vymezením vůči ostatním smlouvám, přičemž velká váha je věnována procesu uzavření kupní smlouvy. Následně je práce zakončena srovnáním úpravy převodu vlastnického práva a nebezpečí na věci k věci. |

| Abstract: | This thesis deals with the comparison of American and Czech contract law with emphasis on sales contract, as one of the most used instances of contract law. The thesis first deals with the peculiarities of American law, especially the relationship between federal and state law, sources of law and basic principles of American contract law. The main part of this thesis concentrates on selected issues of sales law, starting with its definition in relation to other contracts, while a great deal is devoted to the process of concluding a sales contract itself. Subsequently, the work is then finished with comparison of transfer of title and the risk of loss in the American and Czech law. |
