| Abstract: | Cílem této práce je provedení due diligence společnosti Sounding s.r.o. z pohledu finančního investora a doporučení metody vstupu. Hlavním předmětem práce je finanční due diligence s využitím vertikální a horizontální analýzy účetních výkazů, bilančních pravidel, poměrových ukazatelů, bonitních a bankrotních modelů a určení EVA. Další částí je obchodní (komerční) due diligence, ve které byly použity metody SWOT analýzy, PEST analýzy, srovnání s odvětvím a Porterova modelu pěti sil. Je zde také přihlédnuto k právní a daňové due diligence s omezením z hlediska informací poskytnutých analyzovanou společností. Práce je zakončena doporučenou metodou vstupu a oceněním předmětu této transakce. |

| Abstract: | The goal of this thesis is to conduct due diligence of the company Sounding s.r.o. from the view of a financial investor and a recommendation of the method of entry. The main focus of this thesis is financial due diligence, which uses methods of vertical and horizontal analysis of financial statements, balance rules, indicator ratios, creditworthy and bankruptcy models and determining EVA. The next part is business due diligence, which uses the methods of SWOT analysis, PEST analysis, comparison to the field and Porter’s five forces analysis. This thesis also delves into legal and tax due diligence, but these are limited due to insufficient information from the company. The thesis ends with the recommended entry into the business and determining the value of said entry. |
