| Abstract: | Tato diplomová práce se zabývá problematikou daně z příjmů právnických osob v souvislosti s realizací přeměny ve formě fúze. Práce je rozdělena do tří hlavních kapitol. První kapitola je věnována právní problematice a stěžejní právní terminologii, která je následně aplikována v rámci druhé kapitoly. Druhá kapitola zmiňuje hlavní daňové aspekty, které by měla nástupnická společnost vzít v úvahu v případě realizace fúze a rovněž zmiňuje rizika, kterým nástupnická společnost může čelit. Závěrečná kapitola hodnotí daňově aspekty a odhaduje budoucí vývoj daňového práva v souvislosti s přeměnami obchodních společností. |

| Abstract: | This thesis focuses on the issue of corporate income tax in connection with the company transformation in the form of merger. The thesis is divided into three main chapters. The first chapter is devoted to legal issue and principal legal terminology, which is subsequently applied in the second chapter. The second chapter mentions the principal tax aspects that the successor company should consider in case of a merger and brings out the risks that the successor company may face. In the final chapter it evaluates tax aspects and estimates future development of tax law in connection with the transformation of companies. |
