| Abstract: | Diplomová práce se zabývá krizí podniku, podstatou neformální a formální sanace, příležitostmi a souvisejícími riziky, které finanční tíseň informovanému investorovi přináší. V první části práce čtenáře seznamuje s principy restrukturalizace, průběhem a specifiky reorganizace s důrazem na předbalenou reorganizaci. Druhá část práce zkoumá investiční příležitosti v podnicích ve finanční tísni, přičemž je klasifikuje do dvou skupin – na transakční a finanční. Příležitosti hodnotí pohledem dlužníka, investora i věřitele a uvádí riziko, které podstupují. V třetí části práce jsou představeny dva odlišné příklady předbalených reorganizací. Analyzovány a vyhodnoceny jsou formy vstupu investora do podniků. Zároveň jsou zhodnoceny i specifika předbalených reorganizací a jejich časový průběh. |

| Abstract: | This thesis deals with the corporate crisis, corporate restructuring and insolvencies. Financial distress is considered as an opportunity for experienced investors. First this thesis provides general overview of corporate rehabilitation options, insolvency proceeding and pre-packed insolvencies according to the Act No. 182/2006 Coll. on bankruptcy and settlement. Further on, the thesis analyses distressed investment opportunities and classifies them into categories – distressed mergers and acquisitions and financial opportunities. Investment opportunities are evaluated from the investor, debtor and creditor point of view. The practical part of the thesis is focused on specifics of two different pre-packed insolvencies. It provides the evaluation of investment opportunities and length of insolvency proceeding. |
