| Abstract: | Tato diplomová práce se zabývá fenoménem jednotek zvláštního určení v Čínské lidové republice. Tyto účelové jednotky umožňují čínským společnostem, na jejichž obchodní činnost jsou uvaleny restrikce zahraničních investic dle Katalogu pravidel pro zahraniční investory, získat finanční prostředky v zahraničí. Cílem práce je objasnit využití těchto jednotek a způsob jejich konsolidace. Dalším cílem je rozebrat související vybrané účetní, auditní a daňové problémy a rizika tohoto uspořádání. Výsledkem práce je analýza současného užití jednotek zvláštního určení čínskými společnostmi kótovanými na NYSE a NASDAQ. Práce také obsahuje představy o právních úpravách vzhledem k současné situaci. |

| Abstract: | This diploma thesis addresses the phenomenon of Variable Interest Entities in the People’s Republic of China. This business structure enables Chinese companies to raise capital abroad even if their operations are restricted or prohibited according to the Catalogue of Industries for Guiding Foreign Investment. The main objective is to clarify the use of VIE structures and this consolidation method. The subsequent aim is to analyze related accounting, auditing or tax issues and risk embedded in the structure. The main outcome is an analysis of current VIE usage that helped Chinese companies to complete their initial public offering on NYSE and NASDAQ. Furthermore, the thesis provides multiple expressions de lege ferenda. |
