| Abstract: | Diplomová práce se věnuje právním, účetním a daňovým aspektům podnikových kombinací v České republice. Postupně rozebírá jednotlivé varianty podnikových kombinací z hlediska jejich procesní náročnosti a daňových povinností. Úvod práce se zabývá základním vymezením podnikové kombinace z pohledu českých účetních předpisů a mezinárodních účetních standardů. Dále jsou v rámci úvodní kapitoly popsány základní rozdíly. V následujících částech práce jsou prezentovány rozdíly mezi nejběžnějšími formámi podnikových kombinací v České republice, tj. přeměna ve formě sloučení a prodej obchodního závodu. Závěrečná kapitola obsahuje modelový příklad na základě, kterého si čtenář dokáže shrnout jednotlivé poznatky získané z teoretické části této práce. |

| Abstract: | The diploma thesis deals with legal, accounting and tax aspects of business combinations in the Czech Republic. The thesis gradually analyzes each of the business combinations in the view of their procedural demands and tax duties. At the beginning, the thesis presents the definition of the expression business combination from the Czech accounting standards and International Financial Reporting Standards point of view. Next in the introductory chapter, fundamental differences among particular combinations are described. In the following chapters the main differences between two most common forms of business combinations (i.e. merger and purchase of business establishment) in the Czech Republic are represented. The final chapter summarizes modelling of two most most common forms of business combinations. |
