| Abstract: | Práce se zabývá procesem due diligence a jeho významem při vyhodnocování zvažované koupě podniku Ernst Leopold s.r.o., která se v roce 2016 nacházela v insolvenci. Cílem práce je zhodnocení stavu společnosti, identifikace potenciálních rizik spojených s investicí a z nich vyplývající ocenění společnosti. Na základě těchto výstupů je posouzena perspektivnost transakce z pohledu jak finančního, tak strategického investora. V závěru je jednotlivým typům investorů doporučena případná výše kupní ceny, způsob její úhrady a struktura transakce, které by měly vést k optimálnímu výsledku. |

| Abstract: | The thesis deals with the process of due diligence and its importance for the evaluation of the considered acquisition of Ernst Leopold s.r.o., which was in insolvency in 2016. The main goal of the thesis is to assess the situation of the company, identify potential risks associated with the investment and valuate the company accordingly. Based on the outputs, prospects of the transaction are assessed from both financial and strategic investor’s points of view. In conclusion, potential purchase price, payment structure, and overall structure of the transaction are recommended to both types of investors, thus leading to an optimal result. |
