| Abstract: | Diplomová práce se zabývá problematikou finanční a daňové due diligence. V teoretické části práce je čtenáři, na základě odborné literatury, přiblížen samotný proces due diligence, druhy due diligence s převážným zaměřením na finanční a daňovou due diligence, postupy a očekávané výstupy z těchto due diligence. V praktické části jsou kombinovány postupy z odborné literatury s praktickými zkušenostmi z provádění finančních a daňových due diligence na reálných datech anonymizované společnosti. Výstupem této práce je přehled zjištění z finanční a daňové due diligence na který navazují doporučení, jak na tato zjištění reagovat v rámci záruk a prohlášení ve smlouvě o převodu podniku. |

| Abstract: | The thesis is focused on the process of financial a tax due diligence. In the theoretical part of the thesis, the reader is introduced to the process of due diligence, the different types of due diligence, with focus on financial and tax due diligence and expected outcomes from these due diligences. The practical part of the thesis combines procedures from the literature with practical experience in performing financial and tax due diligence. The financial and tax due diligence in this thesis is prepared on real data of an anonymized company. The result of this thesis is an overview of findings from financial and tax due diligence, which are followed by recommendations on how to respond to these findings with the warranties and indemnities in the share purchase agreement. |
