| Abstract: | V rámci diplomové práce je řešen vznik a vývoj reorganizace jako jednoho z řešení úpadku podle insolvenčního zákona; dále se práce věnuje také analýze statistik využití reorganizací v porovnání s konkursem v České republice a USA. V práci je také charakterizován význam znalce v procesu reorganizace, vysvětlen pojem distres a jeho vliv na hodnotu společnosti. Cílem práce je představit reorganizační proces jak z právního, tak z ekonomického úhlu pohledu, zhodnotit dosavadní využití reorganizace a zjistit specifika oceňování v rámci reorganizace jak v teoretické hladině, tak v české oceňovatelské praxi. Realizace vyjmenovaných cílů probíhá na základě rešerše dostupné odborné literatury, analýzy z veřejně přístupných dat a statistik, a v neposlední řadě pomocí analýzy samotných znaleckých posudků. Závěr vysvětluje také jak se specifiky, které uvádí teorie oceňování v distresu, vypořádává oceňovatelská praxe. |

| Abstract: | The diploma thesis includs the origin and development of reorganization as one of the solutions to bankruptcy under the Insolvency Act; Furthermore, the thesis is focused on the analysis of statistics on the usage of reorganizations in comparison with the bankruptcy in the Czech Republic and USA; The work characterizes the importance of the valuation expert in reorganization process, explains the concept of distress and its impact on the value of a firm. The aim of the thesis is to present the reorganization process from both legal and economic point of view, evaluate the current usage of reorganization and also to find out the specifics of valuation within the reorganization value on theoretical level and in the Czech valuation practice. The implementation of the listed goals is carried out on the basis of a search of available literature, analysis from publicly available data and statistics, and last but not least through the analysis of the expert opinions as such. The conclusion also explains how the specifics of valuation in distress from the theoretical part are dealt with in practice. |
