| Abstract: | Cílem této diplomové práce je kvantifikace synergických efektů plynoucí společnosti BONAVITA spol. s r.o. z hypotetické akvizice strategických investorem. Hodnota synergií je identifikována na základě nalezené tržní a investiční hodnoty předmětné společnosti k datu 31. 12. 2019 dle veřejně dostupných informací. První část práce se převážně zabývá vymezením pojmů a metod související s problematikou oceňování podniků, synergií a fúzí a akvizic. Teoretická část je zakončena expertními poznatky, statistikami a výsledky výzkumů z praxe. V hlavní části nejprve dochází k představení společnosti BONAVITA spol. s r.o. V navazujících kapitolách je provedena analýza finančního zdraví oceňovaného podniku, strategická analýza s prognózou relevantních trhů a tržních podílů společnosti, analýza a prognóza generátorů hodnoty s následným sestavením finančního plánu pro roky 2020-2023. Poté již navazuje samotné ocenění metodou DCF entity pro tržní hodnotu. Před oceněním investiční hodnoty je představen hypotetický strategický investor s jeho předpoklady. Jakmile je stanovena i investiční hodnota společnosti, je provedena závěrečná fáze kvantifikace synergických efektů. |

| Abstract: | The aim of this diploma thesis is to quantify the synergistic effects on the side of the company BONAVITA spol. s r.o. which can be expected in a hypothetical acquisition by a strategic investor. The value of synergies is identified by finding the market and investment value of the company as at 31. 12. 2019 based on publicly available information. The first part of the thesis mainly focuses on the definition of concepts and methods related to the issue of business valuation, synergies and mergers & acquisitions. At the end, the theoretical part is supplemented with expert knowledge, statistics and research results from practice. At the beginning of the main part, the company BONAVITA spol. s r.o. is introduced. The following chapters consist of analyzing the financial health of the company, strategic analysis with a forecast of the relevant market and market share of the company, analysis and forecast of value generators with the subsequent composition of a financial plan for 2020-2023. This is followed by a determination of the market value by the DCF entity valuation method. Before identifying the investment value, a hypothetical strategic investor with his assumptions is introduced. Once the investment value of the company is determined, the final quantification of synergy effects is calculated. |
