| Abstract: | Cílem diplomové práce na téma Ocenění Kofola ČeskoSlovensko a.s. s důrazem na vyhodnocení synergií po akvizici společnosti LEROS, s.r.o. je nalézt tržní hodnotu společnosti Kofola ČeskoSlovensko a.s. k datu 31.12.2017. Toto datum předcházelo akvizici společnosti LEROS, s.r.o., která se uskutečnila dne 13.3.2018. Teoretická část práce se zabývá vymezením problematiky akvizic, fúzí, jejich specifika při oceňování a shrnuje také různé metody vyhodnocení synergií. Praktická část obsahuje finanční analýzu pro posouzení finančního zdraví podniku a strategickou analýzu pro vymezení relevantního trhu a tržních podílů společnosti. Prognóza generátorů hodnot vyústí v sestavení finančního plánu pro roky 2018-2023. Ocenění podniku je provedeno metodou DCF Entity. V druhé části poslední kapitoly je porovnávána vypočtená hodnota podniku s hodnotou Enterprise Value zjištěnou z databáze Orbis. Tím je porovnán vývoj podniku bez vlivu akvizice a skutečný vývoj hodnoty společnosti Kofola ČeskoSlovensko a.s. Na závěr je pomocí několika vybraných finančních ukazatelů a analýzy výročních zpráv obou společností souhrnně vyhodnocena úspěšnost akvizice společnosti LEROS, s.r.o. a jsou kvantifikovány synergické efekty. |

| Abstract: | The diploma thesis deals with the topic of business valuation of Kofola ČeskoSlovensko a.s. with emphasis on the evaluation of synergies after the acquisition of LEROS, s.r.o. and the aim of the diploma thesis is to evaluate the company Kofola ČeskoSlovensko a.s. as at 31st December 2017. This date preceded the acquisition of LEROS, s.r.o., which took place on 13th March 2018. The theoretical part analysis the financial health of the company and also strategic analysis is conducted to define the relevant market and market shares of the company. Value generators are important part of financial plan for the years 2018-2023. The valuation itself is performed by using the DCF Entity method. The second part of the last chapter compares the value of company (DCF Entity) and the Enterprise Value, which was found in the Orbis database. By this procedure, the development of the company without acquiring is compared with the real value of the company (including acquisition). The success of the acquisition of LEROS, s.r.o. is evaluated by analysis of several selected financial indicators and analysis of the annual reports of both companies. And finally, synergistic effects are quantified. |
