| Abstract: | Tato diplomová práce se zabývá uplatněním corporate governance u nově vzniklých společností v České republice. Věnuje se zejména teorii správy a řízení společností, kodexům zabývajícími se touto problematikou a úpravou problematiky v českém právním řádu, zejména v zákoně č. 90/2012 Sb. o obchodních korporacích. Pojednává také o novele zákona účinné od roku 2021 a modelech správy akciových společností. V praktické části analyzuje vybraný vzorek nově vzniklých společností a vyhodnocuje je z hlediska splnění určitých kritérií souvisejících s transparentností vybraných podniků. Jedná se především o splnění povinností zveřejnění zákonem stanovených údajů ve lhůtě, již zákon ukládá. |

| Abstract: | This diploma thesis deals with the use of corporate governance in newly established companies in the Czech Republic. It focuses mainly on the theory of corporate governance, codes of corporate governance and the regulation of the issue in the Czech legal system especially in its Business Corporations Act. It also deals with the amendment to the Act effective from 2021 and models of corporate governance applicable for joint stock companies. In the second part, the thesis analyses a selected sample of newly established companies and evaluates them in terms of meeting certain criteria related to transparency of the selected companies. These include compliance with the obligation to disclose statutory information within the timeframe imposed by the law. |
