| Abstract: | Cílem diplomové práce je diskuse a ověření dopadů legislativních změn na základě zákona č.90/2012 Sb., o obchodních korporacích. Předmětem výzkumu jsou kapitálové obchodní společnosti v odvětví stavebnictví. Práce se zaměřuje na základní kapitál a rezervní fondy, zkoumá nejen tvorbu počátečního základního kapitálu a rezervních fondů v době vzniku společnosti, ale také vývoj. Výzkum probíhá na výzkumném vzorku společností s ručením omezeným a akciových společnostech na základě dat z databáze Albertina. Výsledky ukázaly, že se s.r.o. přizpůsobily legislativní změně a vznikají s nižším základním kapitálem a často i s minimálním. Rezervní fondy s.r.o. i a.s. v oblasti stavebnictví tvoří pouze ve velice malém procentu případů anebo vůbec. |

| Abstract: | The aim of the thesis is to discuss and verify the impact of legislative changes based on Act No. 90/2012 Coll., on business corporations. The subject of the research are capital trading companies in the construction industry. The thesis focuses on capital and reserve funds, it examines not only the creation of initial capital and reserve funds at the time of the company's establishment, but also the development. The research is conducted on a research sample of limited liability companies and joint stock companies based on data from the Albertina database. The results showed that the s.r.o. they have adapted to the legislative change and are created with a lower share capital and often even with a minimum. Reserve funds s.r.o. i a.s. in the field of construction, they form only in a very small percentage of cases, or at all. |
