Shareholders' agreements concluded between partners

The thesis focuses on the issue of shareholders' agreements, which play a key role in the regulation of shareholder relations not only in small and medium-sized companies or startups but also in large companies. The thesis analyses the historical development, legal nature and global context of these agreements, focusing on the Czech legal environment and the international perspective. This perspective provides a better insight into the use of shareholders' agreements, especially when using Anglo-American practice, where these agreements are much more common both in use and in case law, which is lacking in the Czech Republic. One of the important issues examined in the text is the enforceability of obligations under shareholders' agreements and the risks associated with the possible invalidity of the agreement. The paper also examines the typology of shareholders’ agreements according to their purpose, which provides a basic possible categorization of the agreements. The thesis provides a theoretical, as well as a practical, perspective on shareholders’ agreements. Based on the information examined, it then provides recommendations for the effective use of shareholders' agreements in the Czech legal environment, including a commented partial model of a shareholders' agreement.
