Legal regulation on the incorporation of a limited liability company in the Spanish Kingdom

The incorporation of a business corporation through which a person carries out his or her business activities is a complex task, the complexity of which is multiplied if the entrepreneur also has to consider the specifics of a foreign regulation. Despite this, Spain might be attractive to many Czech entrepreneurs. Intending to improve the level of knowledge of those interested in doing business in Spain, this bachelor's thesis aims to provide an in-depth insight into the Spanish legal framework for setting up a limited liability company, the most used legal form of business. Furthermore, it systematically guides the reader through the formal procedures that founders can expect. To achieve the aforementioned objective, the thesis is structured in five chapters. The initial one focuses on the concept of the limited liability company, describing its evolution and offering a theoretical introduction to its regulation in the context of the Spanish legal system. The second chapter summarises the process of setting up a limited liability company in Spain and opens up the topics covered in the remaining three chapters. Each of these chronologically describes one of the phases of incorporation, ending with the signing of the incorporation document and registration in the commercial register, which presupposes the full-fledged formation of the Spanish limited liability company. The middle chapter describes the defined company in the transitional phase between its establishment and the acquisition of the legal personality of the given form.
