Cílem diplomové práce je porovnat právní úpravy vybraných aspektů fúzí akciových společností v českém a ruském právním řádu, provést analýzu odlišností a podobností těchto právních úprav a odhalit jejich výhody a nedostatky. Začátek práce je věnován vývoji právních úprav a významu základních pojmů v rámci procesu přeměn. Následující části práce se zaměřují na instituty projektu přeměny, rozhodného dne a ochrany akcionáře. |

Aim of this thesis is to compare legal regulations of selected aspect of mergers of public limited companies in Czech and Russian legal codes, to demonstrate differences and similarities of these legal codes and detect their strong and week points. Beginning of the thesis describes development of legal codes and explains main definitions related to mergers and PLCs. Following parts of the thesis are dedicated to project of merger, decisive date and protection of shareholders’ rights. |
