Bakalářská práce se zabývá problematikou správní rady v akciové společnosti. 1. 1. 2021 vyšla novelizace zákona, která upravila fungování monistického systému v České republice. Správní rada je nově jediným povinně zřizovaným orgánem, který přebírá funkce řídící i kontrolní. Česká legislativa se díky této změně snažila přiblížit světovým modelům, pro které je monistický systém tradiční. Cílem této bakalářské práce je zjistit, jaké jsou hlavní shody a odlišnosti ve fungování správní rady akciové společnosti v ČR, Francii a Spojených státech amerických a dále identifikovat základní výhody a nevýhody monistického systému uspořádání orgánů akciové společnosti. |

| Abstract: |
The thesis deals with the issues of the board of directors in a joint-stock company.On 1 January 2021, an amendment to the law came out, which regulated the functioning of the monistic system in the Czech Republic. The board of directors is now the only compulsorily established body that takes over management and control functions. Thanks to this change, the Czech legislation has tried to move closer to the world models for which the monistic system is traditional. The aim of this bachelor thesis is to find out what are the main similarities and differences in the functioning of the board of directors of a joint stock company in the Czech Republic, France and the United States of America and to identify the main advantages and disadvantages of the monistic system of organising the bodies of a joint stock company. |
