Diplomová práce se zabývá uplatňováním péče řádného hospodáře v procesu řízení firem a jejím vlivem na práci manažerů v různých pozicích, jako jsou hlavní ekonom, ředitel či vlastník. Cílem práce je dokumentovat, jak právní úprava ovlivňuje jejich rozhodování a odpovědnost. Práce je rozdělena na teoretickou a praktickou část. Teoretická část definuje pojmy a legislativní rámec daného tématu. Praktická část se zaměřuje na literární rešerši, monitoring insolvenčního řízení na vybraném vzorku společností, včetně provádění bilančního testu a testu insolvence. Další část využívá metodu polostrukturovaných rozhovorů se statutárními orgány vybraných společností k odhalení konkrétních aplikovaných kontrolních mechanismů. Výsledkem diplomové práce je pak mj. zjištění, jakým způsobem se statutární orgány zabývají obsahem povinnosti péče řádného hospodáře a zda v praxi plní své zákonné povinnosti. |

| Abstract: |
The thesis deals with the application of due managerial care in the process of company management and its impact on the work of managers in various positions such as chief economist, director, or owner. The aim of the thesis is to document how legal regulations influence their decision-making and responsibility. The work is divided into theoretical and practical parts. The theoretical part defines the concepts and the legislative framework of the topic. The practical part focuses on a literature review, monitoring insolvency proceedings in a selected sample of companies, including conducting a balance sheet test and an insolvency test. Another part uses the method of semi-structured interviews with statutory bodies of selected companies to reveal specific applied control mechanisms. The result of the thesis includes findings on how statutory bodies deal with the content of the duty of due managerial care and whether they fulfill their legal obligations in practice. |
