Diplomová práce je zaměřena na analýzu vypořádání podílu v různých právních formách za pomocí metody komparace mezi společností s ručením omezeným a veřejnou obchodní společností. Teoretická část charakterizuje osobní a kapitálovou společnost, definuje podíl, jeho formy a ocenění. Praktická část na jednotlivých variantách popisuje nejdůležitější rozdíly ve vypořádání podílu a posuzuje, zda je výhodnější pro společníka při vypořádání podílu účast v kapitálové nebo osobní společnosti. Komparaci doplňuje stanovená hypotéza. |

| Abstract: |
The Master’s thesis is focused on the analysis of share settlement in different legal forms using the method of comparison between a limited liability company and a general partnership. The theoretical part characterizes the partnership and the capital company, and defines the share, as well as its forms and valuation. Using the variants, the practical part describes the most important differences in share settlement and assesses whether it is more advantageous for a member to hold interest in a capital company or partnership when settling shares. The comparison is complemented by an established hypothesis. |
