| Abstract: | Tato diplomová práce se věnuje problematice přeměn obchodních společností v České republice se zaměřením na přecení jmění. Hlavním cílem diplomové práce je sběr a analýza údajů o přeměnách realizovaných v České republice v letech 2018-2020 s přesahem do první poloviny roku 2021 na vybraném vzorku. Práce je rozdělena na teoretickou a praktickou část. Teoretická část se věnuje právnímu vymezení přeměn, zmiňuje druhy přeměn, vysvětluje základní pojmy týkající se problematiky přeměn důležitých pro praktickou část. V neposlední řadě definuje metody a způsoby ocenění majetku a závazků. Praktická část je věnována empirickému výzkumu vzorku transakcí přeměn, následné analýze nashromážděných dat a zpracování základní analýzy vzorku, kdy hlavní pozornost je upřena na metody ocenění. Závěr diplomové práce je shrnutí, zhodnocení naplnění cílů a posouzení teoretických poznatků s výsledky z pozorování praxe. |

| Abstract: | This thesis deals with the issue of corporate transformations in the Czech Republic with a focus on the revaluation of net assets. The main objective of the thesis is to collect and analyse data on corporate transformations in the Czech Republic in 2018-2020 with an overlap to the first half of 2021 on a selected sample. The thesis is divided into theoretical and practical part. The theoretical part is devoted to the legal definition of transformations, mentions types of transformations, explains basic concepts related to the issue of transformations. Last but not least, it defines methods of valuation of assets and liabilities. The practical part is devoted to empirical research of a sample of transformation transactions, the subsequent analysis of the collected data and the elaboration of the basic analysis of the sample, where the main focus is on valuation methods. The thesis concludes with a summary, an evaluation of the fulfilment of the objectives and an assessment of the theoretical knowledge with the results from the observation of practice. |
