| Abstract: |
Diplomová práce se věnuje vlivu zelené transformace na energetiku a aktivitu fúzí a akvizic v tomto sektoru. Práce se nejprve zaměřuje na teoretické vysvětlení fúzí a akvizic, včetně právního rámce, který na ně působí, financování transakcí a efektu ESG ratingu. Dále jsou v práci analyzovány historické transakce, současná situace na trhu výrobců elektřiny a také je zde analýza a predikce cen uhlí, plynu, elektřiny a emisních povolenek. Poslední část této práce se zabývá oceněním dvou společností, přičemž jedna vyrábí elektřinu z uhlí a plynu, a druhá z obnovitelných zdrojů. Cílem práce je zhodnocení dopadu regulatorních tlaků na hodnotu aktiv tradičních energetických společností a společností vyrábějících z obnovitelných zdrojů, a jak tento vývoj ovlivňuje aktivitu fúzí a akvizic v tomto sektoru. |

| Abstract: |
This diploma thesis examines the impact of the green transition on the energy sector and the activity of mergers and acquisitions within the industry. The thesis first focuses on the theoretical explanation of mergers and acquisitions, including the legal framework, transaction financing, and the impact of ESG ratings. This work also analyzes historical transactions, and the current situation in the electricity production market and provides an analysis and forecast of prices of coal, natural gas, electricity, and CO2 allowances. The final part of the thesis focuses on the valuation of two companies. One produces electricity from coal and natural gas, and the other one from renewable resources. The goal of this thesis is to assess the impact of regulatory pressures on the asset value of conventional energy companies compared to companies producing from renewables and to examine how these pressures influence mergers and acquisitions activity within the sector. |
