| Abstract: | Hlavním cílem této diplomové práce je identifikace a analýza stavu, očekávaného vývoje a odhad hodnoty společnosti Less & Timber a.s. za účelem nabídky převzetí. Pro tyto účely bylo zpracováno obchodní a finanční due diligence, na jejichž základě byl stanoven finanční plán společnosti. Hodnota byla pak odhadnuta prostřednictvím modelu DCF equity, přičemž byla stanovena variantně pro různé úrovně diskontní sazby. Tyto hodnoty byly dále prověřeny prostřednictvím porovnávací metody za pomocí odvětvových multiplikátorů. Dále bylo formulováno doporučení pro potenciální kupce ve smyslu struktury a podmínek transakce. |

| Abstract: | The main objective of this thesis is to identify and analyse status, expected development and to determine an estimate of the value of Less & Timber a.s. for the purpose of a takeover bid. For this purpose, business and financial due diligence was prepared, based on which the financial plan of the company was determined. The value was then estimated using the DCF equity model, with variations for different discount rate levels. These values were then further tested through a comparative method using industry multiples. Furthermore, a recommendation was formulated for potential buyers in terms of structure and terms of the transaction. |
