Tato bakalářská práce se zaměřuje na srovnání právní úpravy společnosti s ručením omezeným v České republice a na Ukrajině. Cílem je zjistit, jaké jsou mezi těmito dvěma právními formami rozdíly, zejména pokud jde o vznik společnosti, její vnitřní strukturu, fungování orgánů a rozdělování zisku. Práce využívá komparativní a analytickou metodu. První kapitola se věnuje pojmu právnické osoby a jejich dělení v obou zemích, se zvláštním důrazem na obchodní korporace. Druhá kapitola porovnává právní úpravu společnosti s ručením omezeným v České republice a na Ukrajině, přičemž český právní rámec slouží jako základ pro srovnání. Třetí kapitola nabízí doporučení de lege ferenda pro obě země a přináší přehled vývoje počtu těchto společností v posledních letech. Práce poskytuje pohled na fungování této právní formy ve dvou různých právních systémech. |

| Abstract: |
This bachelor's thesis focuses on a comparison of the legal regulation of limited liability companies in the Czech Republic and Ukraine. The aim is to identify the differences between these two legal forms, particularly in terms of company formation, internal structure, functioning of company bodies, and profit distribution. The thesis applies comparative and analytical methods. The first chapter addresses the concept of a legal entity and its classification in both countries, with special emphasis on business corporations. The second chapter compares the legal regulation of limited liability companies in the Czech Republic and Ukraine, using the Czech legal framework as a reference point. The third chapter offers de lege ferenda recommendations for both countries and provides an overview of the recent development in the number of these companies. The thesis provides insight into the functioning of this legal form within two different legal systems. |
