| Abstract: | Bakalářská práce se zabývá vnitřní strukturou akciové společnosti. Zakladatelé mají v rámci České republiky možnost si zvolit buď dualistický, nebo monistický systém vnitřní struktury akciové společnosti. Tato práce je zaměřena pouze na dualistický systém zahrnující tři obligatorně volené orgány, a to valnou hromadu, představenstvo a dozorčí radu. Cílem je porovnat tyto orgány v rámci dvou právních předpisů, tedy zákona o obchodních korporacích v České republice a obchodného zákonníku na Slovensku. Práce se snaží poukázat na rozdíly mezi těmito dvěma právními předpisy a vyvodit z nich jisté výhody či nevýhody. |

| Abstract: | The Thesis is concerned with internal structure of joint-stock company. Founders of the company can choose between the dualistic and monistic system of internal structure within the Chzech republic. The thesis is focused only on dualictic system which includes three obligatory elected bodies. They are general meeting of shareholders, board of directors and supervisory board. Aim of the thesis is to compare dualistic system within two legislations which are Zákon o obchodních korporacích and Obchodný zákonník. The thesis deals with differences between those legislations and try to bring up advantages and disadvantages followed from them. |
